• You have the legal capacity to enter into a binding agreement.

3. Client Responsibilities

To ensure the success of our collaboration, you agree to:

• Provide accurate, complete, and timely information or materials as required to complete the project.
• Respond to any feedback, drafts, or requests for information promptly to avoid unnecessary delays.
• Adhere to the payment terms outlined in your project agreement or invoice.

Failure to meet these responsibilities may result in delays, additional costs, or termination of services.

4. Intellectual Property

a) Ownership

• Upon payment in full, ownership of final design files or other deliverables outlined in the project agreement will transfer to the client. Lines + Pixels retains the right to use the work in portfolios, marketing, or promotional materials unless otherwise agreed.
• Any intellectual property that existed before the project (e.g., proprietary tools, software, or assets created by Lines + Pixels) will remain the sole property of Lines + Pixels.

b) License Usage

• Unauthorized reproduction, modification, or redistribution of Lines + Pixels designs, website content, or other property is strictly prohibited, unless explicitly agreed upon in writing.

5. Payments

a) General Terms

• Payments are due as specified in the quoted agreement or invoice.
• Payments may include non-refundable deposits to secure project timelines or initiate work.

b) Late Payment

• Late payments may result in work suspension until outstanding balances are cleared. Continued non-payment may result in project termination and collection of fees owed.

c) Refunds

• Refunds will only be issued as specified in individual project agreements. Deposits are generally non-refundable except in extraordinary circumstances clearly agreed upon by both parties.

6. Project Terms

a) Revisions

Lines + Pixels offers a specified number of revisions as part of most project agreements. Any additional revisions beyond the agreement will incur extra charges.

b) Delays

Lines + Pixels will not be held liable for project delays caused by the client, including failure to provide required assets, delayed responses, or changes in project scope.

c) Cancellation Policy

If you wish to cancel a project, you must notify Lines + Pixels in writing. Cancellations may be subject to fees for work already completed or expenses incurred.

7. Confidentiality

Lines + Pixels agrees to maintain the confidentiality of any non-public information provided by the client. Similarly, clients agree not to disclose any proprietary tools, processes, or trade secrets of Lines + Pixels without consent.

8. Limitation of Liability

To the fullest extent permitted by law, Lines + Pixels will not be liable for:

• Indirect, consequential, or punitive damages arising from your use of our services.
• Errors, delays, or interruptions caused by factors beyond our reasonable control, such as technical failures or third-party service interruptions.

In any case, Lines + Pixels’ liability will be limited to the amounts paid by the client for the affected services.

9. Termination

Lines + Pixels reserves the right to terminate services at any time if:

• The client fails to fulfill agreed-upon responsibilities, including payment obligations.
• The client engages in illegal, unethical, or harmful activities that impact Lines + Pixels or its stakeholders.
• A breach of these Terms occurs.

Upon termination, any unpaid dues must be paid immediately, and Lines + Pixels may retain ownership of any unapproved or unpaid deliverables.

10. Third-Party Services

Our website or projects may include services provided by third-party vendors (e.g., hosting services, stock image providers). Lines + Pixels is not responsible for the terms of service, functionality, or actions of these third-party providers.

11. Modification of Terms

Lines + Pixels reserves the right to modify these Terms at any time. Updates to these Terms will be posted on our website with a revised “Effective Date.” It is your responsibility to review these Terms regularly. Continued use of our website or services after changes indicates acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in Davao City, Philippines.
